$6M | Sale of brewery and distillery

M&A

KitsWest Capital advised the shareholders of a BC-based regional brewery and distillery operation on a $6M sell-side M&A process resulting in a strategic sale to a craft beverage industry acquirer. The business had developed regional brand recognition, multi-channel distribution, and an established production facility, all of which were attractive to strategic buyers building craft beverage platforms. Shareholders sought a buyer that would respect the brand identity, retain operational staff, and offer transaction certainty.

The mandate

The engagement covered business preparation and normalized earnings analysis, development of confidential information materials emphasizing brand and distribution moats, identification of qualified strategic and financial buyers across craft beverage and consumer products, structured bid process management, negotiation of price and key non-price terms, and execution through closing. The buyer pool included strategic craft beverage groups as well as financial sponsors building consumer beverage platforms.

Why this transaction represents our practice

This $6M sale is representative of the sell-side M&A advisor and mid-market business broker work KitsWest performs for owner-managed businesses in food and beverage, craft consumer products, and adjacent regulated industries across British Columbia and Alberta. For brand-driven businesses, the process design matters as much as the financial preparation because the right acquirer is often defined by strategic fit, channel access, and cultural alignment, not just price.
